On June 26th, the SEC and the Commodity Futures Trading Commission (CFTC) published a joint request for comment to consider ways to expand portfolio and cross‑margining. Input from the public may inform how updates affect the ability of securities and derivatives regulated by the SEC, the CFTC, or both agencies to be consolidated and margined in a unified manner, thus offsetting their risks and managing them in a single framework. Continue reading "SEC, CFTC Seek Feedback on Expanding Portfolio Margining and Cross‑Margining"

The SEC’s Division of Corporation Finance periodically makes informal staff interpretations available to the public via the Financial Reporting Manual (FRM). The update does not make any technical changes; it only includes administrative edits, so none of the sections have date tags added. Continue reading "SEC Updates Financial Reporting Manual"

On June 18th, the SEC and the Commodity Futures Trading Commission (CFTC) released a joint request for comment to consider ways to harmonize swap data reporting across the security‑based swap and swap markets. On June 8th, the SEC approved rules that establish joint data standards under the Financial Data Transparency Act of 2022 (FDTA). The rulemaking establishes technical standards for data submitted to certain financial regulatory agencies, making financial data more accessible, uniform, and useful to the public. The joint data standards would make it easier for financial institutions to file reports across multiple agencies and help regulators carry out the SEC’s oversight functions with greater efficacy. Continue reading "SEC Adopts Joint Data Standards Rules Under FDTA"

On May 14th, the United States Government Accountability Office (GAO) released a new report to satisfy requirements detailed in the Financial Data Transparency Act (FDTA). The Act requires the GAO to evaluate the establishment of a Standard Business Reporting-type (SBR) program in the United States and to begin developing shared data standards among financial regulators. The standards are intended to reduce reporting burdens, improve data quality, and steer the United States toward a system similar to SBR used in other countries. Continue reading "GAO Issues Report on Standard Business Reporting Under FDTA"

On May 5th, the SEC proposed rule and form amendments that would allow public companies to file semiannual reports instead of traditional quarterly reports. The change would offer issuers greater flexibility in meeting interim reporting obligations under federal securities laws. Under the proposal, companies subject to Exchange Act Sections 13(a) or 15(d) may choose to file a new Form 10‑S twice a year in place of Form 10‑Q. Rather than file three quarterly reports and one annual report, eligible companies could choose the streamlined option to file one semiannual report and one annual report per fiscal year. Continue reading "SEC Proposes Rules to Allow Optional Semiannual Filings for Public Companies"

On May 19th, the SEC proposed reforms intended to improve the efficiency, resilience, and cost‑effectiveness of registered offerings while remaining focused on providing strong investor protections. The proposal seeks to streamline the public‑company reporting framework and more closely align disclosure requirements with a company’s size and phase of development. The proposal is designed to respond to years of increasing regulatory complexity and a sustained drop in the number of public companies. By simplifying offerings and customizing disclosure requirements, the SEC aims to encourage more businesses, especially small and mid‑sized issuers, to go public and remain in the public markets. Continue reading "SEC Proposes to Modernize Registered Offerings and Reduce Reporting Burdens for Public Companies"

On May 6th, the Municipal Securities Rulemaking Board (MSRB) released a correction to its April 23rd request for public review and comment related to draft amendments to MSRB Rules G-1, G-3, G-20, G-23, and G-37. The rules are intended to retire the term “financial advisor” from several MSRB rules as part of its Municipal Advisor Retrospective Rule Review. The correction specifically addresses two issues in the draft amendments to Rule G‑23 that appeared in the earlier notice, but all other sections of the April 23rd notice remain unchanged. Continue reading "MSRB Publishes Correction to Draft Amendments to Retire “Financial Advisor” Language, Solicits Feedback"

On May 1st, the SEC’s Division of Trading and Markets adopted technical amendments to Rule 610 of Regulation NMS under the Exchange Act. The amendments are designed to modernize outdated cross‑references in provisions governing locking and crossing quotations. The rulemaking also corrects an obsolete reference in the rules that delegate authority to SEC staff to allow certain exemptions. Continue reading "SEC Adopts Technical Amendments to Update Regulation NMS Cross-Reference, Delegated Authority Rules"

On April 28th, the Municipal Securities Rulemaking Board (MSRB) released for public review and comment a rule proposal to modify Rule G‑12(c). The proposed rule would update Rule G‑12(c), which regulates confirmation requirements for inter‑dealer municipal securities transactions that cannot be processed through automated comparison systems. The proposed rule supports the MSRB’s ongoing review of its rules, published guidance, and rulebook modernization efforts to align with current technology and operational standards. Continue reading "MSRB Proposes Updates to Rule G‑12 to Modernize Inter‑Dealer Confirmation Requirements, Revamp MSRB Rulebook"

On April 15th, the SEC announced a conditional exemptive order that would permit customer cross‑margining between cash market positions in US Treasury securities cleared by a registered clearing agency and futures positions in US Treasury securities cleared by a registered derivatives clearing organization. The exemption applies to broker‑dealers that are also registered as futures commission merchants with the Commodity Futures Trading Commission (CFTC) and that serve as joint clearing members of both clearing entities. In accordance with the order, these organizations now may offer cross‑margining to eligible customers in a futures account as long as all conditions of the exemption are met. Continue reading "SEC Advances Treasury Market Resilience with New Cross‑Margining Structure"
