SEC Adopts New Rules to Increase Transparency for Special Purpose Acquisition Companies (SPACs), Releases Draft of SPAC Taxonomy Guide

On November 15th, the SEC voted to approve new rules and amendments to enhance transparency requirements and provide additional investor protection in initial public offerings (IPOs) by special purpose acquisition companies (SPACs) and in future business combination transactions between SPACs and target companies (de-SPAC transactions). The SEC will be closed Monday, November 11th, in observance of Veterans Day. The EDGAR System will not receive, process, or accept filings on this day. Filings with a due date of November 11th will be due the following business day. The FERC will also be closed in observation of Veterans Day. eForms will accept filings submitted on November 11th. XBRL US to Host Webinar November 6th to Discuss SEC Cybersecurity Disclosure Rules for Public Companies
