Overview of the Related Rules Adopted by the SEC

The SEC approved rules regarding Pay Versus Performance, amending the rulemaking that required registrants to disclose information concerning the connection between executive compensation and company performance. Under the recently adopted rules, registrants are required include new Item 402(v) of Regulation S-K in any proxy or information statement that requires disclosure under Item 402 of Regulation S-K. Additionally, under the new rules, registrants must use Inline XBRL, the machine-readable, structured data language, to tag their pay versus performance disclosures.

The SEC adopted rules for the disclosure of the recovery of erroneously awarded compensation. Under these rules, securities exchanges are required to implement new compensation recovery listing standards. These standards will require issuers who list securities on these exchanges to develop and implement a policy providing for the recovery of erroneously awarded, incentive-based compensation received by current or former executive officers.
