SEC Extends Interactive Data Rule, Seeks Comment

On March 3rd, the SEC announced that it is requesting feedback on interactive data collection. Issuers filing registration statements under the Securities Act of 1933 and reports under the Securities Exchange Act of 1934 are required to submit specified financial information to the SEC and post it on their corporate websites in an interactive data format using XBRL. The interactive data requirement is designed to simplify investors’ ability to evaluate financial information and to help issuers automate regulatory filings and business information processing. XBRL US to Host Webinar with SEC to Discuss Fee-Based Filing & Payment Methods Modernization

XBRL US’ Data Quality Committee (DQC) will host a virtual Q&A-style discussion with the SEC on Filing Fee Disclosures and Payment Methods Modernization, the final rule which comprises new requirements that will impact many reporting entities and SEC submissions. Speakers from the SEC’s Office of Financial Management and its Division of Corporate Finance will cover topics related to disclosure, technical and general issues pertaining to the rule. Quickly and Easily Migrate Your Process for 24F to XML

The latest version of GoFiler (5.12b) now includes a Form 24F-2NT legacy import. This function allows old annual report information documents to be easily added to a new 24F-2NT XML form and has been developed to supplement the existing CSV import.

SEC Announces Temporary Pause to EDGAR Beta Access for EDGAR Next Beginning March 1

The EDGAR Business Office (EBO) has announced that on March 1, 2022, it will temporarily suspend the use of the EDGAR beta environment (EDGAR Beta) for testing of EDGAR Next code and to deploy code for other testing purposes. At a future date, the EBO will announce the re-deployment of EDGAR Next code in EDGAR Beta to allow filers to test possible future EDGAR Next technical changes.

SEC Advises on Filing Agent/Filer Software Adjustment for Upcoming EDGAR Change

The SEC has announced that on or about April 4th, it will introduce a change to the EDGAR filing websites (EDGAR Link Online and Online Forms) that will affect the way certain third-party software may communicate with these websites. EDGAR will develop a unique parameter that some third-party software products may need to include in each request that enters/updates data. EDGAR will both verify the existence and validity of the parameter in filers’ requests and end user sessions if the value of the parameter is missing or mismatched. XBRL US to Hold Webinar: Supporting ESG Data with Standards

XBRL US has announced that it will host a webinar to discuss the demand for corporate Environmental Social Governance (ESG) data and what investors expect from public companies reporting about their environmental impact. The SEC is taking action on how companies report information about ESG and climate change, and this webinar will take place ahead of an expected rule proposal on these matters. SEC Provides Update on Its Request for Comment on Potential Technical Changes to EDGAR

In September 2021, the SEC introduced a project entitled “EDGAR Next – Improving Filer Access and Account Management”, wherein the SEC proposed a rule that would implement potential technical changes to the way filers access the EDGAR System to make submissions and how filers manage individuals who make submissions on their behalf. After a first round of feedback from stakeholders within the community, the SEC is now seeking further input in undertaking these technical changes. SEC Announces Proposed New Rules for Share Repurchase Disclosure

On December 15, the SEC proposed updates to rules regarding disclosure about repurchases of an issuer’s equity securities (or buybacks) registered under Section 12 of the Securities Exchange Act of 1934. The rule amendments would reinforce the current periodic disclosure requirements about purchases required to be provided in Form N-CSR for registered closed-end funds, Form 10-K and Form 10-Q for domestic issuers, and Form 20-F for foreign filers. The proposed amendments would also establish a new Form SR and require an issuer to utilize the new form to provide prompt disclosure regarding purchases of its equity securities.

New Release (5.10c) for the GoFiler Family of Products

Version 5.10c of all applications in the GoFiler Suite has been released. This release contains the full beta features for the new Form 24F-2 View for editing Form 24F-2NT as XML. Other changes include improvements to the display of certain symbol characters in Page View, a feature to save the Export HTML options as workstation preferences, and a correction for XDX View.

XBRL US to Host Webinar: DQC 17th Ruleset Public Review

XBRL US DQC Releases Ruleset 17

On November 15th, the XBRL US Center for Data Quality (DQC) announced the opening of the 17th public exposure period for review and comment on eight new automated checks, including modifications to rules for filers using the US GAAP or IFRS taxonomies. SEC Announces Proposed Amendments to Electronic Filing Requirements

On November 4th, the SEC announced that it is proposing rule and form amendments to update filing requirements that would affect issuers, registered investment advisors, institutional investment managers, and others that file or submit reports to the SEC on EDGAR. These changes are intended to increase efficiency, transparency, and operational resiliency of the filing process by updating the way data is submitted to the SEC and disclosed. New Release (5.10b) for the GoFiler Family of Products

Version 5.10b of all applications in the GoFiler Suite has been released. This release contains a number of improvements to XDX editing, including two new features for removing XDX engrams. Additionally, this version also contains beta features for automating the process of logging into the EDGAR System from the Help menu as well as a preview of the functionality for the new Form 24F-2 View for editing Form 24F-2NT as XML. Other changes include improvements to proofing options, reading enhanced acceptance messages, and validation for iXBRL.
