Effective today, May 16, 2016, companies can file Form C to EDGAR, which is the offering statement containing the initial disclosures required for crowdfunding.
Crowdfunding is a method of raising capital via the Internet as a means to fund projects and grow businesses. Title III of the Jumpstart Our Business Startups Act (the JOBS Act) created a federal exemption that allows crowdfunding to be used to offer and sell securities via registered crowdfunding portals. While Form C is effective today, there is a waiting period of 21 days before any securities can be sold to allow investors to access and review the provided disclosures.
GoFiler Complete is ready to file Form C and all of its variant forms with a new interface for Form C, as well as tools for importing data into the form from external sources and for migrating data from a previous filings.
